OFFICIAL PROCEEDINGS OF THE BOARD OF TRUSTEES OF THE TOWNSHIP OF SOUTH ORANGE VILLAGE REORGANIZATION MEETING, MAY 16. 2005

A reorganization meeting of the South Orange Board of Trustees was held on Monday, May 16, 2005 in Village Hall. At 8:10 p.m., prior to the meeting officially being called to order, the Village Clerk proceeded to read the Statement of the Results and the Statement of the Determination of the Municipal Election held on May 10, 2005 as follows:

STATEMENT OF THE RESULTS OF THE VILLAGE ELECTION HELD TUESDAY, MAY 10, 2005 A statement of the results of an election held in the Township of South Orange Village, in the County of Essex on the Tenth Day of May in the Year 2005 for Three Members of the Board of Trustees of said Village for a four year term. The whole number of names on the Registry List is 10,986 The whole number of names on the Poll List is 2,851 (including absentee ballots)

STATEMENT OF THE DETERMINATION OF THE VILLAGE ELECTION HELD TUESDAY, MAY 10, 2005 A statement of the determination of the results of the election held in the Township of South Orange Village, in the County of Essex, on the Tenth Day of May 2005 for the Election of Three Members of the Board of Trustees of said Village. I do hereby determine that at said election:

were duly elected Members of the Board of Trustees of said Village. The three newly elected Trustees were then sworn in.

The Oath of Office was administered to Trustee Stacey Jennings by Judge Michelle Hollar-Gregory, J.S.C.

Trustee Terriann Moore-Abrams was administered the Oath of Office by Judge Michael J. Nelson, J.S.C.

Village President William Calabrese administered the Oath of Office to Trustee Eric DeVaris.

At 8:20 p.m. Village President, William Calabrese called the meeting to order and requested the Village Clerk to call the roll. PRESENT: Village President William Calabrese Trustee Eric DeVaris, Trustee Stacey Jennings Trustee Terriann Moore-Abrams, Trustee Allan Rosen Trustee Mark Rosner, Trustee Arthur Taylor Each of the three newly elected Trustees gave a brief opening statement. Acknowledgement was made of Assemblyman Mims Hackett, Mayor of Orange and former Village Trustee Joyce Harley who were in the audience and also spoke briefly. A Moment of Silent Prayer was observed. The Pledge of Allegiance to the Flag was recited in unison.

At this time, Village President Calabrese commented that there are six standing committees of the Board of Trustees and various other committees on which the Trustees serve. He then advised that he had taken it upon himself, along with assistance from Trustee Rosen, to come up with some suggestions for appointments to these committees. With regard to the six standing committees, Village President Calabrese stated that he was recommending the following Chairpersons and members:

PUBLIC SAFETY PUBLIC WORKS PLANNING & ZONING FINANCERosner, Chair DeVaris, Chair Jennings, Chair Rosen, Chair Moore-Abrams Rosner Rosner DeVaris Rosen Taylor Taylor Jennings LIBRARY, RECREATION & CULTURAL AFFAIRS Taylor, Chair Jennings Moore-Abrams LEGAL, HEALTH, WELFARE & PERSONNEL Moore-Abrams, Chair Rosen DeVaris A discussion then ensued concerning the Village President’s recommendations to the aforementioned six standing committees. Trustee Rosner commented that he preferred to remain as Chair of the Planning & Zoning Committee and not serve as the Public Safety Chair. Village President Calabrese asked if any other Trustee wished to serve as the Chair of the Public Safety Committee. No one responded. Village President Calabrese stated that he was recommending Trustee Jennings as the Chair of the Planning & Zoning Committee as she was more familiar with that committee having served on the Planning Board. Trustee Rosner reiterated that he preferred to stay as Planning & Zoning Chair and that instead of being on the Public Safety Committee, he would like to serve on the Recreation Committee. Trustee DeVaris commented that he also would like to be on the Planning & Zoning Committee. The Village President then called for a vote on the resolution for the six standing committees. #134-05 - Resolution Appointing Certain Standing Committees of the Board of Trustees. Moved by Trustee Taylor, seconded by Trustee Moore-Abrams. A roll call vote was taken by the Clerk and the motion carried by a vote of 5-1 with affirmative votes from Trustees DeVaris, Jennings, Moore-Abrams, Rosen and Taylor. Trustee Rosner voted no. The Village Clerk announced that the resolution had passed. The Village President then called upon Trustee Rosen to announce his recommendations to the other various committees/boards and the resolutions were then voted upon. 2
#135-05 - Resolution Appointing Trustee Rosner, Trustee Taylor as Members and Trustee DeVaris as an Alternate Member to the South Orange/ Maplewood Board of School Estimate. Moved by Trustee Rosen, seconded by Trustee Moore-Abrams and unanimously carried by the Board. #136-05 - Resolution Appointing Trustee Rosen, Trustee Taylor as Members and Trustee Jennings as an Alternate Member to the South Orange/ Maplewood Board of Education Liaison Committee. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #137-05 - Resolution Appointing Trustee Taylor as the Class III Member of the South Orange Planning Board. Moved by Trustee Rosen, seconded by Trustee Jennings and unanimously carried by the Board. #138-05 - Resolution Appointing Trustee Rosen as Village Representative to the Joint Meeting. Trustee Rosen stated that he would like to continue as the Village’s representative to the Joint Meeting. Trustee Rosner commented that the Board had put off rotation of Trustees to the Joint Meeting for two years and that he felt it was only fair to now have someone else serve as the representative. Trustee Taylor commented that seniority counts on the Joint Meeting. Village President Calabrese noted that Trustee Rosen is now the Treasurer of the Joint Meeting and will most likely move up to become either Vice Chairman or Chairman this year. Trustee Rosner questioned what this would mean for South Orange. President Calabrese answered that Trustee Rosen would now have a “very big voice” in what transpires at the Joint Meeting. Trustee Rosner reminded the Board that a few years ago when former Trustee Steglitz was in that position, Trustee Rosen had fought very hard to keep the rotation in place and there was the same argument then with Trustee Rosen pointing out that it was only fair to rotate. Trustee Rosner further stated that there was no reason given then and no reason given now as to what it does for the Village. Trustee Rosen advised that the Joint Meeting, itself, has recommended that wherever possible, continuity be maintained because otherwise the Joint Meeting loses a lot of “know how.” Moved by Trustee Taylor, seconded by Trustee Moore-Abrams and carried by the Board. It is noted that Trustee Rosner voted no. #139-05 - Resolution Appointing Trustee Taylor and Trustee Jennings as Trustee Representatives to the Advisory Board of Recreation and Cultural Affairs. Moved by Trustee Rosen, seconded by Trustee Moore-Abrams and unanimously carried by the Board. It is noted that Trustee Rosner voted no. #140-05 - Resolution Appointing Trustee Rosen as Trustee Liaison to the Citizens Budget Advisory Committee and Trustee DeVaris as Alternate Trustee Liaison. Moved by Trustee Taylor, seconded by Trustee Moore-Abrams and unanimously carried by the Board. #141-05 - Resolution Appointing Trustee Jennings as Trustee Member to the Community Relations Committee and Trustee Rosner as Alternate Trustee Member. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #142-05 - Resolution Appointing Trustee Moore-Abrams as Trustee Liaison to the Senior Citizens Affairs Advisory Committee. 3
Moved by Trustee Taylor, seconded by Trustee Rosen and unanimously carried by the Board. #143-05 - Resolution Appointing Trustee Moore-Abrams as Trustee Member to the Local Assistance Board. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #144-05 - Resolution Appointing Trustee Jennings as Trustee Representative and Trustee Rosner as Alternate Representative to the Community Development Block Grant Program. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #145-05 - Resolution Appointing Trustee Moore-Abrams as Trustee Representative to the Board of Health. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #146-05 - Resolution Appointing Trustee Moore-Abrams as Trustee Representative to the Shade Tree Advisory Committee. Moved by Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board. #147-05 - Resolution Appointing Trustee DeVaris as Trustee Liaison to the South Orange Parking Authority and Trustees Taylor and Rosner as Alternate Liaisons. Moved by Trustee Taylor, seconded by Trustee Moore-Abrams and carried by the Board. It is noted that Trustee Rosner voted no. At this time, Village President Calabrese remarked that Trustee Rosen had done a wonderful job in trying to figure out on which committees/boards each Trustee serve. He added that he realized that not everyone would be happy with the recommendations, however, he noted that the Board does reorganize each year and that changes can be made next year. Additionally, at this time Trustee DeVaris expressed his displeasure at the way in which these appointments were made. He stated that he felt the process was not fair and that there should have been more discussion. Village President Calabrese stated that had Trustee DeVaris disagreed with any appointment, he should have spoken up sooner and a discussion would have ensued. Trustee Rosner commented that Trustee Rosen was presenting a list this evening which was “very slanted” and now being “rubber stamped” with no discussion or input from the Trustees. Trustee Rosen stated that the Village President had asked him to make recommendations and that was what he had done. Trustee DeVaris commented that as an architect and planner, he had hoped to serve on the Planning & Zoning Committee and that he really didn’t want to be on the Finance Committee as he has no financial experience. Village President Calabrese stated that he could switch committees provided that either Trustee Rosner or Trustee Taylor agreed to give up their appointment on the Planning & Zoning Committee. #148-05 - Resolution Appointing Trustee Rosen as Trustee Liaison to the South Orange Cable TV Committee. Moved by Trustee Taylor, seconded by Trustee Moore-Abrams and unanimously carried by the Board. #149-05 - Resolution Appointing Trustee Rosner, Trustee Taylor and Trustee Rosen as Trustee Liaisons to Main Street South Orange. Moved by Trustee Rosen, seconded by Trustee Rosner and unanimously carried by the Board.

#150-05 - Resolution Appointing Trustee Taylor as Acting Village President for a Term of One Year in the Event of the Village President’s Absence. Moved by Trustee Rosen, seconded by Trustee Jennings and unanimously carried by the Board. #151-05 - Resolution Appointing Trustee Rosner as Trustee Representative to First Night. Moved by Trustee Rosen, seconded by Trustee Rosner and unanimously carried by the Board. #152-05 - Resolution Appointing Trustee Taylor and Trustee Rosner as Trustee Representatives and Trustee Jennings as Alternate Trustee Representative to the Community Coalition on Race. Moved by Trustee Taylor, seconded by Trustee Rosen and unanimously carried by the Board. Trustee Rosen noted that there were still more committees which needed to have appointments. The Board agreed that resolutions for these committees would be made at the next Trustee meeting. REMONSTRANCES RECOMMENDATIONS PETITIONS Village President Calabrese asked if there was any person present who wished to be heard at this time on any matter. David F. Scott, 168 So. Ridgewood Road expressed concern over the street lights that were removed and the gaslights recently installed on Irvington Avenue, in particular, those by Eder Terrace and Seton Place which have not yet been lit. He commented that the neighborhood is dark and unsafe, categorizing Irvington Avenue as a “high crime area”. Mr. Scott also congratulated the three new Trustees. No one else from the public wished to be heard and the remonstrances portion of the meeting was closed. ADJOURNMENT: Upon a motion from Trustee Rosen, seconded by Trustee Taylor and unanimously carried by the Board, this Reorganization Meeting was adjourned. TIME: 9:22 P.M. MARJORIE O.
