I've been working as an independent consultant for the last two plus years, doing business in my own name. Suddenly, the company I've been consulting for has insisted that I form a corporate entity of some kind. They said that a sole proprietorship would be fine, but frankly, I don't see the difference between that and what I've been doing until now. I invoice them monthly, checks are made out to my name and deposited into my bank account, I file estimated quarterly tax payments and I get a 1099 at the end of the year. Does anybody have any experience with this? Do I need to use a name other than my own name, i.e. <First name> <Last name> Consulting? If I don't need a separate name, is there any other registration I need to do with the state of NJ? I've checked out the NJ state website, but found it fairly confusing about what is actually required. The work I do is technical writing and requires no license of any kind. How do I prove to the company that I've done anything at all except give them a new business name with which to make out my checks? Thanks. |
